4. PAYMENT TERMS

5. INTELLECTUAL PROPERTY
All materials created by Balance Nutrition, including but not limited to coaching materials, content, graphics, and wellness documents, remain our intellectual property unless otherwise stated. Clients receive a limited, non-transferable license to use the materials for the purposes specified in our agreement. The client warrants that any content provided to us does not infringe on the intellectual property rights of third parties.
6. CONFIDENTIALITY
Both parties agree to keep confidential any sensitive information disclosed during the business relationship. Confidential information includes business strategies, client health data, coaching techniques, and other proprietary information not publicly known.
7. LIMITATION OF LIABILITY
Balance Nutrition will not be held liable for any indirect, consequential, or punitive damages arising from the use of our services. In no event will our aggregate liability exceed the total amount paid by the client for the specific service in dispute.
8. INDEMNIFICATION
You agree to indemnify and hold Balance Nutrition harmless against all claims, losses, or expenses resulting from your use of our services or breach of these Terms.
9. THIRD-PARTY SERVICES
